Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and 13838269 Canada Inc. (“ReachHQ”, “we”, “us”) governing your access to and use of reachhq.io and the ReachHQ application (the “Service”). By creating an account or using the Service, you agree to these Terms. If you use the Service for an organization, you represent that you are authorized to bind it.

1. Eligibility & accounts

You must be at least 18 and able to form a binding contract. You are responsible for your account, for keeping your credentials secure, and for all activity under your account. Notify us promptly of any unauthorized use.

2. Subscriptions, billing & trials

  • Paid plans are billed in advance on a recurring basis through our payment processor (Stripe). By subscribing you authorize recurring charges until you cancel.
  • Fees are exclusive of taxes, which we add where required. Except where required by law or stated otherwise, payments are non-refundable and we do not provide refunds or credits for partial periods.
  • Free trials (if offered) convert to a paid plan unless you cancel before the trial ends.
  • You can cancel any time; cancellation takes effect at the end of the current billing period. We may change pricing on prospective renewals with reasonable notice.

3. Acceptable use & anti-spam

ReachHQ is a tool for legitimate, permission-based business outreach. You are the sender of all messages you send through the Service and are solely responsible for their content and for complying with all applicable laws, including Canada’s Anti-Spam Legislation (CASL), the U.S. CAN-SPAM Act, the GDPR/UK GDPR, and equivalent laws. You agree that you will not:

  • Contact people without a valid lawful basis or required consent, or send messages to purchased, scraped or otherwise non-compliant lists in breach of applicable law;
  • Send unsolicited bulk messages, deceptive headers or subject lines, or omit a valid sender identity and a working unsubscribe/opt-out mechanism where required;
  • Fail to honor opt-out, suppression and unsubscribe requests promptly;
  • Send unlawful, fraudulent, infringing, harassing, hateful or malicious content, or malware;
  • Probe, overload, reverse-engineer, scrape or circumvent the Service, its rate limits or its security, or resell the Service except under an authorized agency/white-label plan.

We may suspend or terminate accounts that, in our reasonable judgment, threaten deliverability for other users, violate this section, or expose us to legal risk.

4. Fair use of “unlimited” features

Where a plan describes lead search, reveals or other features as “unlimited”, that means we do not charge per-credit for them — not that usage may be unbounded or automated beyond ordinary human business use. Use must be for your own legitimate outreach and consistent with our published fair-use limits and rate limits. We may apply reasonable safeguards against scraping, resale, sharing of access, or automated bulk extraction, and may contact you before applying limits except where abuse requires immediate action.

5. Your content & responsibilities

You retain ownership of the data and content you submit (“Your Content”). You grant us a limited license to host, process and transmit Your Content solely to provide the Service. You represent that you have the rights and lawful basis necessary for Your Content and your outreach, and you agree to indemnify us against claims arising from Your Content or your use of the Service in breach of these Terms or applicable law. Our handling of personal data is described in our Privacy Policy and Data Processing Addendum.

6. Our intellectual property

The Service, including its software, design and content (excluding Your Content), is owned by ReachHQ and its licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription, subject to these Terms. All rights not granted are reserved.

7. Third-party services

The Service integrates with third parties (for example email providers, OAuth providers and payment processors). Your use of those services is governed by their terms, and we are not responsible for them.

8. Availability, changes & beta features

We work to keep the Service available but do not guarantee uninterrupted operation. We may modify, suspend or discontinue features. Features labeled beta or experimental are provided “as is” and may change or be removed.

9. Disclaimers

To the maximum extent permitted by law, the Service is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant any particular deliverability, inbox placement, reply or business result.

10. Limitation of liability

To the maximum extent permitted by law, ReachHQ and its suppliers will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill. Our total liability for any claim relating to the Service will not exceed the amounts you paid us for the Service in the [12] months before the event giving rise to the claim.

11. Indemnification

You will defend, indemnify and hold harmless ReachHQ from claims, losses and expenses (including reasonable legal fees) arising from Your Content, your outreach, or your breach of these Terms or applicable law.

12. Term & termination

These Terms apply while you use the Service. You may stop using and cancel at any time. We may suspend or terminate your access for breach of these Terms or to protect the Service or other users. On termination, your right to use the Service ends; sections that by their nature should survive will survive.

13. Governing law & disputes

These Terms are governed by the laws of the Province of [Ontario] and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. The courts located in [Ontario, Canada] will have exclusive jurisdiction, except that either party may seek injunctive relief where appropriate.

14. Changes to these Terms

We may update these Terms from time to time. We will post the updated version here and update the “Last updated” date; material changes will be communicated where appropriate. Your continued use after changes take effect means you accept them.
